Agreement
These terms are a contract between you and DataShelf, LLC ("DataShelf," "we"), a California limited liability company at 1901 Avenue of the Stars, Suite 915, Los Angeles, CA 90067. By using the site, you agree to these terms and to the Privacy Policy. If you do not agree, do not use the site.
The site
DataShelf is an operating-data brokerage. We connect businesses that license data from their operations with AI labs and buyers. The site describes that work and lets a business tell us what records it has.
Browsing the site, submitting a form, or uploading a file does not by itself create a license, a partnership, or an exclusive engagement. A commercial agreement exists only when the parties sign it. If a signed agreement conflicts with these terms, the signed agreement controls.
Who may use the site
You may use the site if you can form a binding contract and you are using it for a business. If you use the site for a company, you represent that you have authority to act for that company. You are responsible for what you submit and for having the right to share it.
Accounts and Google sign-in
Admin and partner areas require a sign-in. If you sign in with Google, we receive your name and email address and use them only to authenticate that access, as the Privacy Policy describes. You are responsible for activity under your access. Email daniel@datashelf.ai if you believe someone else is using it.
Submissions
You keep ownership of the material you submit. You give DataShelf permission to host it, review it, and share it with a prospective buyer only with your consent and only when that buyer is under a nondisclosure agreement, for the purpose of a possible license.
You represent that you are authorized to submit the material and that the submission does not violate the law or someone else's rights. You may withdraw consent for further sharing by emailing daniel@datashelf.ai. Withdrawal does not undo sharing that already happened with your consent.
Acceptable use
You will not:
- Probe, disrupt, or go around the site's security or access controls.
- Use the site to send unlawful, deceptive, or infringing material.
- Submit material you are not allowed to share.
- Overload the site, or scrape it in a way that degrades it.
- Misrepresent who you are.
We may suspend or end access if we believe these terms have been broken.
Intellectual property
The site, its design, its text, and its marks belong to DataShelf or its licensors. These terms do not transfer any of that property to you. You may not copy the site to offer a competing service. Your submissions remain yours, subject to the permission above.
No advice, no promised outcome
Content on the site is general information. It is not legal, tax, or financial advice. We do not promise that a buyer will license any records, that a conversation will lead to a transaction, or that the site will be available without interruption.
Disclaimer
The site is provided as is and as available. To the fullest extent the law allows, DataShelf disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the site will be uninterrupted or error-free.
Limitation of liability
To the fullest extent the law allows, DataShelf and its members, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of the site or these terms. Our total liability for a claim related to the site is limited to the amount you paid us to use the site during the three months before the claim. Some places do not allow certain limitations, and in those places this section applies only as far as the law allows.
You will indemnify DataShelf and its members, employees, and contractors against claims, damages, and reasonable expenses arising out of material you submit or your misuse of the site, to the extent the law allows.
Other services
The site may link to other websites, and sign-in may be provided by Google. Those services have their own terms and privacy policies. DataShelf is not responsible for them.
Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in Los Angeles County, California, are the venue for a dispute arising out of these terms or the site, and you consent to personal jurisdiction there. Before filing a claim, email daniel@datashelf.ai so we can try to resolve it.
Changes
We may update these terms by posting a new version on this page and changing the effective date. If you keep using the site after that date, you accept the update. The current terms are the ones at https://www.datashelf.ai/terms.
General
If a court holds part of these terms unenforceable, the rest remains in effect. You may not assign these terms without our consent. We may assign them in connection with a reorganization of DataShelf. These terms, together with the Privacy Policy and any signed commercial agreement, are the entire agreement about the site.
